Terms and Conditions for Quotation:

1. Scope: This document outlines the terms and conditions governing the issuance and acceptance of a quotation (“Quotation”) provided by Zeonics Systech Defence & Aerospace Engineers Private Limited (hereafter referred by ZSDAEPL) in response to the enquiry made by the Client.
2. Quotation Details: The Quotation provided by the Company includes pricing information and relevant details based on the requirements shared by the Client, which cannot be shared to third-parties without the written permission of ZSDAEPL. The Quotation is generally valid for a period of 30 days from the date of issuance, unless otherwise specified, after which it may be subject to change.
3. Acceptance of Quotation: Acceptance of the Quotation shall be communicated in writing to Zeonics Systech within the validity period specified in the actual Quotation. Upon receiving the acceptance, the Quotation shall serve as the basis for further contractual discussions and agreements.
4. Pricing and Payment: The prices quoted are subject to change based on factors such as market fluctuations, changes in product specifications, or unforeseen circumstances. All prices provided in the Quotation are exclusive of applicable taxes, duties, and shipping charges unless explicitly stated otherwise. Payment terms, including any advance payment requirements, shall be outlined in the Quotation.
5. Product Specifications: The Quotation is based on the specifications provided by the Client in the Enquiry phase. Final specifications are as mentioned in the Quotations. Any changes or modifications to the product specifications may result in adjustments to the Quotation.

ZSDAEPL reserves the right to modify the product specifications, if necessary, with prior communication to the Client.

6. Delivery and Lead Times: Delivery dates and lead times provided in the Quotation are estimates and are subject to change based on factors including production schedules, availability of materials, and unforeseen delays. ZSDAEPL shall not be liable for any damages or losses resulting from delays in delivery.
7. Validity of Quotation: The Quotation is provided solely for informational purposes and does not constitute a binding contract between ZSDAEPL and the Client. ZSDAEPL reserves the right to withdraw or modify the Quotation at any time before the Client places an Order.
8. Intellectual Property: Any drawings, designs, or intellectual property shared by ZSDAEPL as part of the Quotation remain the property of ZSDAEPL and may not be used, reproduced, or disclosed without explicit permission.
9. Governing Law and Dispute Resolution: These terms and conditions shall be governed by the laws of Bangalore, Karnataka Jurisdiction only. Any disputes arising shall be resolved through amicable negotiations. If no resolution is reached, the parties agree to submit to the exclusive jurisdiction of the courts in Bangalore, Karnataka.

By accepting the Quotation, the Client acknowledges that they have read, understood, and agreed to comply with the terms outlined above.
